Summary of Service Agreement:
This Service Agreement outlines the formal understanding between the Client and SocialLanding. It covers the scope of marketing services, payment terms, intellectual property rights, confidentiality, termination conditions, and more. The agreement initiates with a detailed description of the parties involved and the services to be provided. It stipulates the payment structure, schedule, and method. The term of the agreement, delivery timelines, and intellectual property ownership are clearly defined. It also highlights confidentiality, termination, and the governing law. Both parties must thoroughly read, comprehend, and agree to the terms for the agreement to be effective.
1. Scope of Services:
SocialLanding agrees to provide marketing services to the Client as detailed in the selected package: [STARTER PACKAGE - ESSENTIALLANDER] (hereinafter referred to as the "Services"). The Services include, but are not limited to:
- Creation of 10 pre-designed landing pages .
2. Payment and Payment Terms:
2.1 Payment Structure: The Client agrees to pay for the Services based on the selected package:
- Monthly payments of $84 payable in advance, starting from date of initial payment.
2.2 Payment Method: Payment shall be made through the method agreed upon between the parties.
3. Term of Agreement:
This agreement shall commence on date initial payment is received and shall continue for an initial period of 12 months from the commencement date (the "Initial Term"). After the Initial Term, this agreement shall automatically renew on a month-to-month basis unless terminated earlier as provided in this contract.
4. Delivery of Landing Pages:
SocialLanding shall provide the Client with 10 fully functional landing pages within 30 days from the commencement date. Links and QR codes for each landing page will be emailed to the Client upon completion.
5. Intellectual Property:
All intellectual property rights, including copyrights and trademarks, relating to the marketing materials and designs created for the Client, shall remain the property of SocialLanding unless otherwise agreed in writing.
6. Confidentiality:
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the Services.
7. Termination:
After the Initial Term, the agreement shall automatically renew on a month-to-month basis, and either party may terminate this agreement by providing a 30-day written notice to the other party.
8. Cancellation for Non-Payment:
SocialLanding reserves the right to cancel this agreement without notice in the event that the Client fails to make a payment within 15 days of the payment due date.
19. Governing Law:
This agreement shall be governed by and construed in accordance with the laws of the State of Tennessee.
10. Entire Agreement:
This Agreement contains the entire agreement between the parties and supersedes all previous agreements and understandings between the parties.
11. Amendments:
Any amendments or modifications to this Agreement must be in writing and executed by both parties.
12. Service Interruptions:
In the event that SocialLanding experiences a significant web services outage or mass outage due to unforeseen circumstances, which disrupts the ability to provide agreed services to the Client, SocialLanding reserves the right to cancel the remaining payments and terminate the contract without any further financial obligation from the Client. This termination will not incur any additional payments from the Client and will release both parties from further contractual obligations
